1. Introductory Provisions

These Terms and Conditions govern the relationship between TOSMAT Automatizace spol. s r.o. (hereinafter referred to as the “Supplier”) and its business partners (hereinafter referred to as the “Customer”) in the provision of services in the field of automation, PLC programming, SCADA visualization, and the design and implementation of switchboards.
All contractual relationships are governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code.

2. Subject of the Contract

The Supplier provides services based on individual agreement, in particular:

PLC programming,
SCADA visualization,
Design and implementation of switchboards,
Other services related to industrial automation.

The scope of services may be extended to additional activities upon mutual agreement of the contracting parties.

3. Order and Conclusion of the Contract

The contract is concluded on the basis of a written order from the Customer and its confirmation by the Supplier.
The order must include the specification of the requested service and, where applicable, further technical and time parameters.

4. Prices and Payment Terms

The price of services is always determined individually on the basis of the Supplier’s offer and becomes binding only after the order is confirmed. Payment terms are agreed individually.

The standard due date of invoices is 30 days unless otherwise agreed.

5. Delivery Terms

Performance deadlines are agreed individually within the contractual documentation.
The Customer is obliged to provide the Supplier with the cooperation necessary for proper and timely performance.

6. Liability and Warranties

The scope and duration of the warranty are agreed individually.
The Supplier is liable only for direct damages caused by a proven breach of contractual obligations.
The Supplier is not liable for damages caused by improper use or third-party interference.

7. Claims

The complaint procedure is set out in a separate Complaints Policy.

Repair or modification of a service does not give rise to a right to extend the contractual warranty unless otherwise agreed in writing.

8. Personal Data Protection

The Supplier processes personal data in accordance with the GDPR and the Personal Data Processing Policy.

9. Final Provisions

Any changes and amendments to the contractual relationship must be made in writing.
These Terms and Conditions are valid from [date] and replace all previous versions.

Complaints Policy

TOSMAT Automatizace spol. s r.o.

A complaint may only be made by the Customer who has concluded a contract with the Supplier.
The complaint must be submitted in writing without undue delay after the defect has been discovered.
The notice must include a description of the defect, the date of discovery, and a proposed solution.
The Supplier shall confirm receipt of the complaint and inform the Customer of the time limit for its resolution.
The method of remedy (repair, modification, replacement of the service) will be agreed individually.

Personal Data Processing Principles (GDPR)

TOSMAT Automatizace spol. s r.o. processes personal data solely for the purpose of fulfilling contractual relationships with business partners (identification and contact details, invoicing data).

The legal basis is contract performance and legitimate interest.
Data subjects have the right to lodge a complaint with the Office for Personal Data Protection if they believe that their rights have been violated.
Personal data are retained for the duration of the contractual relationship and for the statutory period of archiving accounting documents.
Data subjects have the right to access, rectification, erasure, restriction of processing, and to object.
Personal data are not transferred outside the EU.
